Briefly about Limited Liability Companies
A Delaware Limited Liability Company (LLC) is a hybrid business entity which combines the positive features of the Limited Partnership (a company limited by partners) and the Corporation (a company limited by shares).
  • A Delaware LLC may have one member only or several members.
  • The LLC is a separate legal entity.
  • Delaware Limited Liability Companies do not have shareholders. Its owners are members with authority.
  • The members have protection as regards their personal wealth. The LLC alone is responsible for its debts and other obligations.
  • A Delaware LLC has "pass-through" tax status i.e. the LLC itself has no tax liability.
INCORPORATION/FORMATION
The available corporate legal structures are: Association, Company, Corporation, Club, Foundation, Fund, Incorporated, Institute, Society, Union, Syndicate, Limited and Limited Liability Company.
The corporate name must contain one of the following endings: Association, Company, Corporation, Club, Foundation, Fund, Incorporated, Institute, Society, Union, Syndicate, Limited and Limited Liability Company; or one of the abbreviations: Co., Corp., Inc., Ltd. or LLC.
Assuming minimum capitalization - We suggest 1,500 shares of no par value stock.

Please note that when registering an aircraft within the FAA, the LLC has to submit a copy of its Operating Agreement. The agreement is found in the company kit, which we can provide you with.
