Why should you incorporate in Delaware?
The State of Delaware requires less information about the founders of a corporation than other states and this extra privacy may be important to you. Delaware (it is home to nearly 60% of the companies listed on the New York and American stock exchanges and more than 50% of the Fortune 500 are incorporated in Delaware) is attractive for other reasons as well. Delaware has an extremely well-established body of law, does not seek to tax income earned in other jurisdictions, has an excellent and informed business court in its Court of Chancery and is very pro-business.   • Delaware is considered the most attractive state in the US for organizing.
  • Delaware courts reach reasonable and fair conclusions when construing the corporate laws. Only one incorporator is required. A corporation may be the incorporator.
  • One person can act as the sole officer, director and shareholder of a corporation.
  • Shareholders can act in writing instead of holding meetings.
  • A Delaware corporation may be operated anonymously, never revealing the owner's identity to the State of DE.
  • You can add persons to the board who are not shareholders.

  • Corporate records need not be kept in Delaware.

Not like other mediators in which case the third party organizer is stated in a certificate and afterwards company rights are transfer to your name with additional documents.
